According to this doc, you can directly upgrade from 4.02a to 4.2(3).

http://www.cisco.com/en/US/products/sw/voicesw/ps556/prod_software_versions_comparison.html

You can download the 4.2 upgrade file from CCO

http://www.cisco.com/cgi-bin/tablebuild.pl/callmgr-42

For phones to register with Callmanager, you need to setup phones with a static TFTP address or if using DHCP, your DHCP scope should have a custom option 150 defined with the ip address of TFTP server. The TFTP server should be one of the callmanager servers running TFTp service. (typically the Publisher itself)

I have the new 4.2 call manager software full package from cisco. What i want to know is that i want to bakcup the data before i upgrade and how do i do that

You will need to install BARS (Backup and Restore System). Its either available on your 4.2 discs set or you can download it from CCO. (The link i pasted before should help). Using BARs you have to dump the database into a tar file and move it off the server. I usually take a system backup using Ghost, Acronis etc just in case.

Also this document should have detailed steps.
