I do not have an authoritative answer and if anyone does I would hope that they jump in. But I do not see how the ASA could be transparent as a firewall but be non-transparent for VPN. As a VPN end point I would think that it would have to be a visible layer 3 device.

not possible.

you can't do vpn's in transparent mode.
