i wanted to know that do i need a mac-address of publisher for new unit licenses ? as i wanted to purchase new unit licenses for my 10 (7940) phones.and how can i order them for new unit lisense.if yes which type of mac-address in need.

You are most correct :)
These DLU's (Device License Units for the new 7940's) are tied to the Mac Address of the 1st node (License Manager) which is the Publisher server;
Here is the DLU breakdown;
Cisco Unified IP Phone 7902G = 1

Cisco Unified IP Phone 7911G = 3
Cisco Unified IP Phone 7912G = 3
Cisco Unified Wireless IP Phone 7920 (no battery) = 4

Cisco Unified IP Phone 7940G = 4 **(for your order you need 40)
Cisco Unified IP Phone 7941G = 4
Cisco Unified IP Phone 7941G-GE = 4
Cisco Unified IP Phone 7960G = 4
Cisco Unified IP Phone 7961G = 4
Cisco Unified IP Phone 7961G-GE = 4
