Do you have the web based software installed?

Show us the output of "show flash:"

I'm having a similar issue.  Just got an RMA replacement and upgraded to the latest & greatest c3750-ipbasek9-mz.122-55.SE1.  The switch works great via CLI.

Now uploading the c3750-ipbasek9-tar.122-55.SE1.tar
