You can install ACS 4.2 and then restore the ACS 4.1 database backup into the ACS 4.2 Server, or you could perform the upgrade on top of ACS 4.1.

"To upgrade to ACS 4.2 using the ACS 4.1 backup file check the Restore from 4.1 backup file to ACS 4.2 check box. You use this option to upgrade to ACS 4.2 using the ACS 4.1 backup file. The upgrade functionality is then implemented, and the user and group databases and the system configuration will be restored."

In addition to Andres update, make sure that you install the new ACS on supported platform. If you are planning to install this on Microsoft server 2008 then don't forget to install patch 4.
