Typically to make sure the upgrade is successful, I recommend customers set the Daemon Manager, TFTP, RSH, and syslog services to Manual, then reboot.  The install should succeed at that point.  If not, download Process Explorer from http://sysinternals.com, and use it to find files under NMSROOT which are still in use.  Kill the processes using those files, and the install should succeed.
