removing Unity from domain

We currently have Unity 3.1(3) that we had join our existing NT domain and attach to our existing Exchange 5.5 server - now they (IT) wants it removed from the existing domain into it's own domain with Exchange on-box.

What are the hardware requirements to run Unity, AD & Exchange 2K all on the same server. What will be the ramifications of doing this?

They are talking about upgrading our intranet from NT to Win2K with AD and upgrading Exchange from 5.5 to 2K and are worried the upgrade will cause problems with the Unity voice mail if we leave it configured as it is currently .
