The fundamental difference is that the rate-limit command polices traffic whereas the shape command shapes it.

Policing drops all non-conforming traffic whereas shaping results in the traffic being buffered in order to meet the required rate.

Policing could also transmit exceeded Burst not conforming to the Exceed Burst Byte configured, for example set the Precedence Value to Best Effort

The real difference is that Shaping give the promise to buffer traffic for latter trasmittion, while policing does what the configured options are in the Single Token Bucket Algorithm or Dual Token Bucket

Keep in mind that

* FRTS supports shaping on a per-DLCI basis, while GTS is configurable per interface or subinterface.

* For GTS, the shaping queue is a weighted fair queue (WFQ). For FRTS, WFQ is not supported; instead, the queue can be a CQ, PQ, or FIFO.
