Tried re adding phone
Make sure the phone you configured is the exact type the phone is in reality. I.e. If phone is 7945 don't build it as 7965.
Adding to Chris's suggestion, try to perfoming a Factory Reset to the phone, some Certificate issue could cause this problem too.

what is the CUCM version u are using?
Do u have enough licenses on CUCM to register new phone?
Hope u are correctly entering the MAC address in Call manager .
can u share the snapshot and mac-address of phone ?
Was this phone registered to a CUCM 8 or above before being put on the CUCM 4? If so, it could be the CTL. You need to remove that through Admin mode on a 7942G, I believe.
