Need to find a way to load IOS in a 2801 router. I have username and password, but I am unable to download the Xmodem software...

You mean the 2801 router currently has no IOS?
Use Xmodem, its available in TeraTermPro and Microsoft Windows HyperTerminal. You just need the rollover (or console) cable.
However, for 2801 router you can still download the IOS image using TFTP from the ROMMON. Check this link http://www.cisco.com/en/US/products/hw/routers/ps259/products_tech_note09186a008015bf9e.shtml

I can only go in ROMMON mode, and it shows no dir files and won't take any commands to set up IP addresses to do the IOS load
