are there any pro's / con's to consider (as we go from prime lms 4.2 to prime infrastructure) in installing prime infrastructure on the same vm as our lms 4.2 server?

They cannot run on the same VM - each requires a dedicated VM. They could be on the same physical host (ESXi server) or cluster.
PI has pretty hefty memory requirements - more than LMS for a given network size.
I recommend people with LMS study the functional comparison (link) to realize up front what they do and do not get when moving to PI. If you decide it's something you want to move to, start with a pilot deployment and only after you've decided it does everything your need go ahead and decommission your LMS.

You can go with a fresh install of PI 2.1.
As far as migrating - the only thing you can bring over from LMS is a list of devices with credentials. LMS 4.2.2 introduced the ability to export the .csv file with the necessary parameters but it's not too complicated - you can gen up a csv file yourself. PI has a template for doing so. You can see it as described in the User Guide here.

Definitely moving forward with it.
Are there any recommendations on the disc partitioning - or is everything placed on 'c'? our server admins are asking - i couldn't find anything documented.

The distribution for PI is one of two types - an ISO for installation on the Cisco appliance or an OVA for installation as a guest VM on a VMWare ESXi server. (The latter is the most common.)
When deploying an OVA (Open Virtual Appliance) the file itself has metadata built into it that pass the operating parameters (vCPUs to allocate, disk size etc. - based on the image type downloaded) to the parent server. You don't have the option of modifying much at all and the pre-built parameters are good for most installations.
