Adding Failover to a VM only box

What are the options for a customer that has a VM only Unity (3.0.3 w/ Exch 5.5 on box) and now wants to add a second Unity for failover? Is a complete rebuild required?

For failover, Exchange must be off box. So your customer would need to buy 2 boxes and redesign so that Exchange and the DC is on one box, and Unity 3.1(5) is on the other two boxes.

Any recommended procedure for making a migration of this sort as painless as possible? At a minimum, retaining the Unity database, names and greetings.
