I am in the process of upgrading from Unity 2.4.6 to 3.1.5. When I get ready to cut over (I have parallel servers) I will need to move the dongle from the 2.4.6 server to the 3.1.5 server and then run the license upgrade tool. But what if I need to rollback from the 3.1.5 server to the 2.4.6 server? Can I "downgrade" the system key on the dongle using the license utility on 2.4.6?

You wont need to downgrade the key - Unity 2.x will run with a 3.x key attached, however at startup time it'll write the major version through to the key (i.e. it'll stamp it as a 2.x key again) - you'll have to reapply the upgrade code to go back to 3.x again if you need to later.
