Rate limiting policer/shaper

I have been experiencing issues with a service providers QoS policy that applied a shaper to rate limit our subscribed bandwidth to 37 Meg on a packet over sonnet interface. Basically it's a parent/child policy and it seemed when the class-default would spike, the shaper kicked in and caused voice to become choppy (see below).

CBWFQ will not simply let me replace the shaper with a policer so I have tried the following:

police cir 37000000

conform-action transmit

exceed-action drop

class class-default

police rate 37000000

conform-action transmit

exceed-action drop

It seems that I can spike the date class for extended periods of time without affecting voice but I don't seem to get the full 37 Meg bandwidth. The policer in class-default starts rate limiting and keeps traffic about 10 meg below 37. Is that a throttle back feature?

Anyone have any better solutions to rate limit this while guaranteeing voice quality?
