Unity Fail-over migration

I have a client looking to move from Unity v3.1(3) to v4.0(3) w/Exchange 2003. They are VMO - running with Exchange v5.5 on-box. They are also wanting to implement Fail-over. They hve new hardware for all of this (Old Unity 3.1(3) hardware being retired).

I'm looking for the best order to accomplish this upgrade within a 12-hour outage window.

Move Exchange off-box first (w3.1(3) & Exchange 5.5)

Upgrade to Exchange 2000

Upgrade to Unity 4.0(3)

Implement Fail-over

They will also be rolling out Active Directory throughout the network as well (currently NT4 Domain).

It is optimal that the Unity server be backed up according to the normal requirements. Plan the move during off-peak usage hours with Unity offline and Exchange dismounted. Here's a url that is helpful in moving subscribers between exchange servers.
