First, make sure the system you are backing up as part of your upgrade process is nice and clean. Use dbWalker (you can get the latest off of CCO or AnswerMonkey.net) to try and clean up all the broken links, stranded mail users and orphaned call handlers that you can. The most common thing folks send me are import logs that have error that are nothing more than faithfully recreated broken links from a backup of a system that had those same issues... Import does not magically clean all those links up.
Second, read the upgrade guide... please... so many folks neglect to read through the guide and the help files that come with the export/import tools used for upgrading from 2.x to 3.x. Here's the upgrade section of the install guide:
