I'm always confused between VM and UM; does VM need Exchange software installed on Unity box ? I know that UM will need to connect to Exchange Server in a different box. How's bout Outlook on VM ? Thanks for help.

Unity 2.x always needs Exchange 5.5 installed on our local box not matter what configuration it's in since we use it for our directory and message store. In a POV install, this Exchange server is simply installed in it's own Organization/site. In a Unified Messaging installation this Exchange server is added to an existing Exchange site.
In some limited configurations you can have Unity acting as the "all in one" message store. So you can use one box for email, voice mail and connect to us for Outlook services. Since this taxes the resources on the local box this is limited to 200 subcribers or less and you gotta get one of the "big" boxes on the hardware list.
If you want to go over that many users, they have to be homed on Exchange servers off box. Generally the "all in one" configuration only makes sense for the very smallest of deployments since it introduces a rather large single point of failure.
