i need 40 to 60 phones
40 in house
10 sales office ( in US )
10 out side of us

I would recommend:
1 Call Manager
1 Unity VoiceMessaging Server
1 2650 router with HDV and MFT modules
2 3524XL with power
2 4224 with voice modules
60 7960 telephones

1. 1 CallManager(get 2nd one for backup if u want)
2. 60 7960 IP Phone (but 7960 IP Phone need IP address for each). U can use VG200 that need 1 IP address and have 4 ports (RJ11).
3. uOne for Voice Mail message(simple) or use Unity Voice message server(complex)
Of course you need switch and router.

1st step... You really need someone to do a thorough assessment of your network before choosing parts. IP Telephony is less tolerant of poor planning than any other WAN technology. If you're comfortable with your own network, start with a pilot call manager implementation. Make sure the user community has a thorough understanding of how these things work, what features they should expect, and the overall impact to the network.
Use the Cisco IP Telephony Network Design Guide as a starting point. You can also contact Cisco directly. I use Reseller Support at 800 553-6387. The voice people are very knowledgable.
