Help with CAR Design

We are deploying a solution for a Multitentant unit, they will have 8-Mb fiber connection to the net which is connected to a 100Meg TX-FX converter. There will be 2 tenants sharing the access, what devices will I need to get this to work with the following requirements:

The 8 Mb pipe is to be split equally so both tenants get 4 Mb /each all the time CAR.

Both networks must be independant and secure from each other.

One of the tenants will be running a VPN's to other locations.

Any ideals would be much appreciated, right now I'm looking at a Catalyst 2948GL3 with a 1751 router in front of the switch???
