converting server to failover environment

I need to convert a fully working unified system (with exchange) to have a failover standby unity server. Do I need a modified license ? Do I need a license for each server? Can I use the existing server as it is or do I need to re-build the primary? Any other items i need to be aware off please.

I suggest starting with the System Requirements doc. There is a section specific for Failover, "Cisco Unity Failover Requirements"

One of those requirements is that Exchange runs on a seperate box. If you've already got that then the next place to start reading is in the Unity Reconfigurations guide, "Adding Failover to the Cisco Unity System When Exchange Is Already on a Separate Server"
