The product Windows Server is out of licenses. Use License Manager from the Administrative Tools folder for more information on which users are out of compliance and how many licenses should be purchased.
I have seen this in couple unity servers. sometime it stops the unity.
I disabled the license loggin sevice.
My question: what does per seat mean?

You can't discuss per seat w/o discussing per server licensing.
In per-server licensing, a user connecting to one server for printer, and another server for a file share would use up two server licenses.
In per-seat, the license is per-user. So for the same scenario above, the user only uses one server license.

So when we install OS for unity voicemail only, do we install it as per server or per seat? Thanks

Not sure. Open control panel, and open Licensing applet. If exchange is also on the server, select PRODUCT to view both exchange and windows.
